- is lawfully disclosed to the Receiving Party by a third party without restriction on disclosure;
- is independently developed by the Receiving Party.
- Term: The obligations of this Agreement shall remain in effect for a period of ______ years from the date of this Agreement, unless otherwise terminated in accordance with the provisions hereunder.
- Return of Confidential Information: Upon the termination of this Agreement, or upon the Disclosing Party's written request, the Receiving Party shall promptly return or destroy all materials containing or derived from the Confidential Information.
